Thomas J. Waldron is an Associate in the firm’s Corporate/Business Practice Group. Thomas has worked on many corporate M&A deals. On these transactions, Thomas has drafted various documents such as stock purchase agreements, contribution agreements and resolutions, assisted in the due diligence of client/target information provided pursuant to the transactional agreements to ensure the accuracy of representations and warranties and assisted in the process of obtaining Hart-Scott-Rodino anti-trust approval. Thomas assists clients in their day-to-day corporate needs including drafting shareholder agreements, LLC operating agreements, employment agreements, customer agreements and other business documents. Thomas has worked on the corporate side of real estate and loan transactions. In this practice, Thomas has drafted borrower operating agreements, assisted in corporate restructuring of entities and reviewed loan documents.
Thomas received his J.D. from Columbia Law School and his B.A. in Political Science and Philosophy, Politics and Law from Binghamton University. During law school, He was an intern in the Queens Surrogate Court for the Hon. Peter Kelly and a summer associate/ law clerk here at Meltzer Lippe. Thomas was an executive editor on the Columbia Journal of Environmental Law.
In his free time, Thomas enjoys playing fantasy football and is an avid fan of the New York Mets.
