Sherry J. Sandler is a partner in the firm’s Corporate/Business Group, leveraging 20-plus years of experience in managing legal, regulatory, and compliance matters for public and private equity companies. A subject matter expert in the exchange, regulatory, Alternative Trading Systems (ATS), and over-the-counter markets and trading. Sherry is a trusted advisor, business partner, and counsel to prominent exchanges, broker-dealers, and asset managers on private equity and M&A transactions, as well as strategies to minimize risk exposure.
Sherry began her legal career at Milbank LLP, an Am Law 15 firm, handling sophisticated M&A and private equity work across various practice groups. Sherry’s experience at Milbank provided the foundation for her deep understanding of general corporate matters involving capital markets, bankruptcy, litigation, tax, securities, corporate finance, trust and estates, as well as private equity and M&A work.
Following her 7-year tenure at Milbank, Sherry embarked into a variety of in-house counsel roles with progressive leadership and oversight, which included advising on regulatory and compliance frameworks for securities trading at one of the world’s largest exchange groups (New York Stock Exchange), a broker-dealer/global financial services firm (Knight Capital Americas LLC and Knight Capital Group), and an investment bank (Rodman & Renshaw, LLC). In her most recent role as Senior Director and Associate General Counsel at the NYSE, Sherry managed legal, regulatory, and compliance matters for multiple business lines as well as advised on equity and options exchanges and related business units on exchange/SRO rules, FINRA regulations, and federal securities laws.
In early 2023, Sherry launched her own trading and capital markets advisory firm, guiding Fortune 500 companies, financial service institutions, investment/financial firms, and private equity funds on legal and regulatory changes, critical financial and business matters, and the ecosystem of stock exchanges. Additionally, as part of her advisory and consulting services, Sherry served as Of Counsel to several law firms and as outside general counsel to companies on M&A, private equity, capital markets and corporate transactions, including structuring complicated equity and debt financings and corporate governance matters.
Sherry received her JD from Brooklyn Law School, magna cum laude, and her BA in Political Science and Psychology from Emory University, graduating in the top 10% of her class. She is admitted to practice in New York and New Jersey and is a member of the New York and New Jersey Bar Associations, Women in Financial Markets (WIFM), and the Jewish Business Network (JBN) of Long Island. She also serves on the Membership Committee of Temple Beth Torah of Melville and is a member of the U.S.-Ukraine Business Council (USUBC).
A first-generation college graduate and fluent in Russian, Sherry is the daughter of Ukrainian immigrants, positioning her deep passion for counseling startups and entrepreneurs in their business endeavors. She enjoys working out and cheering on her two young daughters at local and state dance competitions.
